Please carefully read and agree to all rights and restrictions under the user agreement (the “User Agreement”) before start using Sandbox Smart series products (the “Product”). The Product includes, without limitation, the hardware for Sandbox Smart and software relevant to Sandbox Smart (including Sandbox Smart software operation system, website, and mobile device application and cloud service) and other relevant products developed by Sandbox Smart Technology. Relevant intellectual property rights in the Product, including all copyright, patent, and trademark all belong to Sandbox Smart Technology (or its licensee, the “Company”).

The Agreement is legally binding on users. You have promised and guaranteed that you have the right and capacity to enter into this Agreement. When you begin to use the Product, you are deemed as having accepted this Agreement. Please read carefully and agree to all provisions herein, including disclaimers of waivers and limitation of liability and restriction on user’s rights. If you cannot accept all terms of this Agreement, please do not begin to use the Product.

 

1. License Permit

According to the Agreement, the Product will grant you the right to download, install, and use the Product in all online communications.

1.1. Restriction Clause
The Agreement will impose the following restrictions on your license:

1.1.1.   You may not, in any form, license, sell, rent, transfer, publish or otherwise use the Product for business.

1.1.2.   Unless otherwise expressly provided by law, you may not amend, translate, revise, combine, use, separate, modify, reproduce, distribute or reverse engineer the program of this Product.

 

2. Right Restriction

2.1. You have agreed to use the relevant service of this Product through using, sharing or otherwise using the Product, during which, you will bear all legal liability arising from the risk caused by the following behavior. In the event it causes damages to Sandbox Smart Technology, the Company will claim damages pursuant to laws:

2.1.1.   To include contents prohibited by law and administrative laws;

2.1.2.   To collect other users’ personal data, information or data without authorization,
including, without limitation, identifiable or non-identifiable personal information such as email address.

2.1.3.   To use the Product with bad faith and through automatic ways which overly burdens the server or otherwise interferes with or damages the website server and connection.

2.1.4.   To attempt to access the Product’s server data or communication data without authorization.

 

3. User Content

3.1. User content means all content such user publishes or otherwise generated by using this Product (including, without limitation, your
device user history, software or application history, pictures you modified and published, document information, data, audio files or other electronic content).

3.2. You are the sole person responsible for your user content. You will bear all risks of any third party claims (including, without limitation, the Company and vendors) caused by user content disclosing or breaching the terms herein. Sandbox Smart Technology is not liable.

3.3. Interaction between you and other users is only the behavior between you and other users. You understand and agree that Sandbox Smart Technology is not legally liable for such acts.

 

4. Bonus Points

4.1. Bonus Points Obtaining
There are a few ways to receive Bonus Points:
a. Five point for NTD 100 spent, and no point for less than NTD 100 spent
(shipping cost is excluded from the amount).
b. Bonus Points for special promotion.

4.2. Bonus Points of the order will be issued 14 days after the order is “completed” for products purchased on the Sandbox Smart website.

4.3. One point can be recouped against NTD for the order. There is no limit on the amount deducted for the points; however, the points cannot be used for delivery fees

4.4. The points will expire in a year. Once expired, it cannot be recouped against cash. The Company is not responsible for further
notice.

4.5. Product Return
In the event a Bonus Points is used in a order, but a return is applicable, it will be handled in the below method:
1. The points accrued from that order will be deducted.
2. Refund points used in such an order.

 

5. VIP Subscription

5.1. Rights and Obligations

5.1.1.  You shall use your own credit card or payment tools. If you pay with a credit card not owned by yourself (the “Actual Payer”), you are deemed by the Company as legally authorized to use the credit card and the Actual Payer is also fully aware of the payment. You or the Actual Payer may search the member account information relevant to the payment, payment termination, or personal data change of the Actual Payer.

5.1.2.  If either you or the Actual Payer may violate laws or is reported to the Company, the Company will be properly collect personal
information of you or the Actual Payer and handle such payment information. You or the Actual Payer may not breach this provision or infringe the third party’s rights. The violator will bear all relevant legal responsibilities.

5.1.3. When the payer (namely the user or the Actual Payer) pays with a credit card and the Company cannot claim the money because the credit card is expired, reported lost, refused by the bank or other reasons, the Company is entitled to terminate or cancel the transaction.

5.1.4.  The payer shall use the care of a good administrator and properly safeguard personal data and important information of credit card or third party payment service and may not disclose or deliver the same to a third party. In the event others learn about such important information or a third party abuses the same resulting from the willful or negligent act of you or the Actual Payer and damages are caused, you or the Actual Payer shall be liable. The Company is not involved.

5.1.5.   If you have questions about the fees payable for that period, the Company may still deduct the amount stated in the bill from the designated credit card account. In the event of overpayment or underpayment, the Company will automatically deduct or increase the relevant fees in the next bill.

5.1.6. Disputes between the payer and a third party service provider or collection service provider, including, without limitation, modification or change of payment account, are legal relationships independent from this clause. The payer and the service provider shall coordinate and resolve the same and bear the relevant legal responsibility.

5.1.7. If the designated credit card account information needs to be changed or the automatic payment authorization needs to be terminated, it shall be notified to the Company’s customer service center by phone or email. The data change or authorization termination will take effect on the following payment day.

5.1.8. According to Clause 5, Article 2 of The Regulations on Reasonable Matters as Exceptions to Rescind the Distance Sales, Sandbox Smart service provided by the Company will be completed once you authorize to pay. The rescission right within seven
days for distant sales under Section 1, Article 19 of the Consumer Protection Act.

5.2. Payment Method
You agree to authorize the Company to deduct the amount from the credit card account you designated pursuant to the service content and payment method you chose.

5.3. Member Type

5.3.1.   Non-Member:
Users who are not registered as Sandbox Smart members.

5.3.2.   Member:
Users who have completed membership registration.

5.3.3.   VIP
Member: Users who have completed membership registration and VIP membership subscription process.

5.4. Membership Level 
Members may be promoted to higher levels through accumulating rewards. There are three membership levels.

5.4.1.   Membership Level Advancement: 
Through purchase on the Sandbox Smart website, you will earn a point for each NTD 1 spent. The actual purchase amount shall apply and will be credited to the account after 14 days after the order status is changed to “Complete.”

5.4.2.   Rewards:
Three months is considered a quarter (4 quarters for a year, respectively January to March, April to June, July to September, and October to December). Each quarter will be reconciled at 11:59PM on the last day of the quarter. The reconciled reward will be the basis for the membership level for the next quarter. After the reconciliation is completed, the reward and level will be reset.

5.4.3.   Reward Deduction 
The reward will be deducted for order cancellation or application for order refund.

6. Revision and Termination

6.1. Revision

6.1.1. This Agreement may be amended at any time. If the Agreement is amended substantively, we will notify you by an announcement of the Product. It will be deemed that you agree to be bound by the updated terms of the Agreement if you continue in using the Product after the amendment.

6.1.2.  Sandbox Smart Technology reserves the right to modify or suspend any service for the Product at any time without further notice.

6.2. Termination

6.2.1.   WE may (1) reserve your right to use the Product pursuant to the laws and (2) terminate the Agreement for any cause and at any time, with or without notice, including reasonable suspicion that you violate the use policy or other terms of this Agreement.

6.2.2.   Notwithstanding the preceding clause, if an user infringes a third party’s intellectual property right and Sandbox Smart Technology receives notice from the intellectual property owner or their agent, Sandbox Smart Technology reserves the right to terminate this Agreement.

6.2.3.   Once the Agreement is terminated, your right to use the Product will be terminated. You should know that when your Product is terminated, it means your user content will be removed from our activity database. Sandbox Smart Technology does not bear any responsibility for terminating this Agreement, including terminating your user account and deleting your user content.

7. Disclaimer

7.1. Sandbox Smart Technology will not be legally liable for any of the following event:

7.1.1.   Where your personal information is required by law or orders from relevant authorities;

7.1.2.   Where unauthorized personal information is disseminated due to your improper use;

7.1.3.   Where the service is suspended, disrupted and user request cannot be satisfied due to hacker attack, computer viruses, illegal content, interrupt mask, government restrictions and any other online, technology, communications, or information security measures;

7.1.4.   Where user’s damage is caused by connection failure of a vendor such as telecommunication carrier, technical issues, the Internet, computer malfunctioning, unstable system and other force majeure events;

7.1.5.   Where the risk derives from the use of the Product that may have information containing threatening, defamatory, offensive or illegal content;

7.1.6.   Where you download pictures without legal license and use the Product to edit, composite, or publish it.

7.1.7.   Unless expressly prohibited by law, in no event will the Company and its licensee be liable for any damages, including damages caused by the use or failure to use the software or Sandbox Smart service, or other direct, indirect, accidental, special or consequential damages (including, without limitation, damage or loss of profit, business interruption, loss of business information, and any other monetary damages).

7.1.8.   Any information, content, software, or service provided by the Company through software and Sandbox Smart service will be provided for use based on the then current function and status of such service. The Company does not give any warranty or guarantee for the service format or content for connection interruption, delay or communication defects.

8. Governing Law
The Agreement is governed by the laws of the country where the user is located.

9. Privacy Policy

9.1. Collection of Personal Information

9.1.1.   When you use the Product, we will require you to provide information that can be used for direct or indirect identification, including, without limitation, name, telephone number, email, address, gender, education, income, profession, company name, ID number (or/and photocopy of both sides), date of birth, hobbies, sports and other interest, type of consumer products and details of service, personal or family consumption.

9.1.2.   When you synchronize data to Sandbox Smart cloud, your files and relevant location and personal data will be transmitted and saved to the server.

9.1.3.   When you use some services by yourself (for instance, inviting other users to join relevant services and sharing information with other users), other users will be able to see the information you share and may read, capture or use such information.

9.1.4.   You agree to be solely liable for legal disputes arising from the personal information you upload/share.

9.1.5.   When you use a location-based program service or function, relevant location information will also be transmitted and saved to the server.

9.1.6.   When you browse websites relating to Sandbox Smart Technology, we will not actively request input of personal information.

9.1.7.   When the user completes the purchase process or attends other activities, Sandbox Smart Technology will require them to register their personal information to complete the transaction and relevant member service.

9.2. Process and Use of Information

9.2.1. Your information will only be used for the purpose and scope identified upon collection and agreed by you. We will ask for your consent in advance if there is any additional use.

9.2.2.  Information we collect may be used for our product and service development, although, in general, we will only use aggregated information and statistics for this purpose.

9.2.3.  Information we collect may be used for interacting with you. For instance, to promptly notify you about product or service updates and announcements.

9.2.4. WE will also use such information to improve our product and analyze our business operation efficiency. We may provide relevant information such as bean roasting data on the device or software to all users for sharing or discussion; however, we will not use such information to track your location or disclose your name or personal information without your consent.

9.2.5.  Unless notified in advance or pursuant to relevant laws in Taiwan, Sandbox Smart Technology will not provide the user’s personal information to a third party or use it for other purposes.

9.2.6.  Sandbox Smart Technology will automatically record information of the user’s browsing activities in the website. Such information is provided only for traffic analysis and online behavior survey to facilitate the website’s service quality improvement.

9.2.7.  You only need to provide email to subscribe to the newsletter. If an user wishes to cancel the subscription, they may do so on
Sandbox Smart Technology’s relevant website at any time.

9.3. User Information To protect all members’ rights, customers who make a purchase on the website for the first time will be upgraded to a member after the transaction is confirmed to be completed.

9.3.1.   During the registration process, you may set up a set of email and password. You may use relevant member services according to the website description through such an account.

9.3.2.   Please properly safeguard your member account and password and do not provide the foregoing to anyone. Please log out from your account after each use.

9.3.3.  If you share the computer with someone else or use a public computer, please remember to close your browser to prevent others from seeing the foregoing information or obtaining access to your account.

9.3.4.   Sharing Your Personal Information with Vendor and Affiliates

9.4. Save and except for the following situation, where we may provide or transmit your information to a third party without your further
consent, we will not share your information with a third party:
(1) where required by law, regulation, judicial or executive investigation, litigation, enforcement or other legal mandates or demand of the competent authority;
(2) Vendors: To provide you with more efficient service, more interesting activities and more secure information management, Sandbox Smart Technology will, based on actual needs, commission a professional third party (such as carrier, bank, marketing firm, information security firm, the “Vendors”) to implement such service and activity, and if Sandbox Smart Technology needs to allow the Vendors to contact, process or use your personal information. The Vendors will collect, process or use your personal information pursuant to this Policy or the instructions of Sandbox Smart Technology.

(3)Affiliates

(4) The website or the service may include third party website or service not provided by the foregoing Vendors nor the affiliates. For personal information you provided to such third party websites or services, the privacy policy stipulated by such websites shall be applicable, and Sandbox Smart Technology is not jointly liable for such linked websites.

We demand the foregoing parties to agree to process this information pursuant to laws, regulations, our rules, this Privacy Policy and any other confidential and safety measures.

9.5. Amendment of this Privacy Policy
Sandbox Smart Technology reserves the right to amend all content in this Policy. We will publish the amended Policy on the same column on the website without further individual notice to members. If you continue to use the service after the Policy is amended, we will consider you have accepted our amended version. Sandbox Smart reserves the right to amend this Privacy Policy at any time. We suggest you read and understand the latest version of the Policy published by Sandbox Smart Technology before you use the service. If you have any questions about the privacy protection policy, please contact the Company directly.

9.6. Personal Information Inquiry
You may inquire and update your personal information in the Product. You may delete a part of your personal information or demand us to delete your personal information by sending an email to unless we must keep such information by law.
